Aster DM Healthcare has bought a majority stake in ProCare Hospital, pushing its Saudi hospital base above 500 beds.

The deal gives UAE healthcare executives a concrete number to track: 109 additional beds in Saudi Arabia's Eastern Province, tied to higher-acuity services and a new digital rollout.

What Aster bought

Aster DM Healthcare announced the acquisition on June 10, 2026, through a joint venture with Abdulrahman Saleh Al Rajhi and Partners Co. Group, according to a Zawya statement carried by TradingView. The company did not disclose the transaction value.

ProCare Hospital, founded in 2009, provides primary and secondary care in medical, surgical, women and children's health, cardiology, orthopaedics, emergency care, diagnostics and allied health. Aster said the hospital will be renamed Aster ProCare Hospital after the transaction.

"The acquisition of ProCare Hospital reflects our confidence in the Kingdom's healthcare transformation journey."

The planned upgrade is the main operating story. Aster said Suhaimi Design developed expansion plans that raise licensed capacity from 100 beds to 209 beds. The project includes 60 critical care beds, 7 operating theatres, a cardiac catheterisation laboratory with Philips, and emergency department works involving Meta Build Co. and AMAQ Company for Contracting.

  • 100 to 209 beds is the planned licensed bed expansion at ProCare Hospital.
  • 60 critical care beds are included in the upgrade plan disclosed by Aster DM Healthcare.
  • 7 operating theatres are planned for the expanded hospital.
  • 500+ Saudi beds is Aster's stated post-deal hospital base in the Kingdom.

Why Gulf operators should watch it

The transaction fits a clear UAE provider pattern. PureHealth completed its $1.2 billion acquisition of the UK's Circle Health Group in January 2024, after announcing the deal in August 2023. NMC Health entered Saudi Arabia through a 70% stake in As Salama Hospital in Al Khobar in 2016. Aster's move adds another UAE-linked operator to Saudi private hospital consolidation.

For CEOs and CFOs, the capital question is whether Saudi Arabia can absorb specialist capacity without price pressure. For COOs, the question is more immediate: Aster must turn a 100-bed hospital into a 209-bed asset while protecting occupancy, physician retention and payer relationships.

The upgrade changes the cost base. More cardiology, cath lab and critical care work means more intensivist coverage, tighter nursing ratios, biomedical equipment uptime and Saudi reimbursement exposure. Aster has named the expansion target and contractors, but it has not disclosed a completion date or capital expenditure figure.

The compliance and digital test

Aster's UAE assets remain split across local regulators: the Dubai Health Authority (DHA) in Dubai, the Department of Health Abu Dhabi (DOH) in Abu Dhabi and Al Ain, and the Ministry of Health and Prevention (MOHAP) in the Northern Emirates. Its Saudi assets sit under Saudi health licensing and national payer systems, so shared clinical protocols, procurement and digital tools need country-specific controls.

For CIOs, the reference point is myAster, which Aster said it plans to roll out progressively at the Saudi facility. A cross-border patient app can cut booking friction, pharmacy handoffs and follow-up gaps, but it also creates data governance work because Saudi and UAE health data rules are separate.

The next signal is execution, not announcement volume. Competitors should watch whether Aster ProCare Hospital can recruit specialists and fill the additional 109 beds without discounting. If it can, Saudi Arabia's Eastern Province will look more attractive for UAE groups that face tighter pricing or capacity limits at home.
