1. Access & Use of Services

ZAVIS offers software tools to build, deploy, and manage AI voice agents and WhatsApp automation for business communication. By accessing or using our Services, you agree to comply with these Terms and all applicable laws. You must be at least 18 years of age or represent a legal entity authorized to enter binding agreements. Services are intended for internal business operations only.

2. User Accounts & Credentials

To use our Services, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must promptly notify [email protected] of any unauthorized access or security breach.

3. License & Use Restrictions

Subject to these Terms, ZAVIS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Services
• Resell, sublicense, or distribute the platform to third parties
• Use the Services to develop competing products or services
• Circumvent usage limits or system restrictions

4. Usage Limits & Fair Use

ZAVIS may impose rate limits or usage caps to ensure fair and reliable service for all users. Excessive or abusive usage may result in temporary suspension of your account. We will make reasonable efforts to notify you before or promptly after any suspension.

5. Customer Content

You retain all ownership rights to any content you submit, upload, or transmit through the Services ("Customer Content"). By using the Services, you grant ZAVIS a royalty-free, non-exclusive, worldwide license to use, store, and process your Customer Content solely to deliver, maintain, and improve the Services.

6. AI Outputs & Accuracy

AI-generated content may be unpredictable or inaccurate. You are responsible for reviewing and validating all AI outputs before relying on them for any purpose. ZAVIS disclaims all liability for any damages arising from the use of or reliance on AI-generated content.

7. Payments & Subscription

Certain features of the Services require payment or an active subscription. All fees are listed in AED or USD. ZAVIS may revise pricing with prior notice. Unpaid fees may result in suspension or termination of your access to paid features.

8. Termination & Suspension

You may terminate your account at any time. ZAVIS may suspend or terminate your access if you violate these Terms, engage in activity that negatively impacts the platform, or if required by law. Upon termination, your right to access the Services ends immediately.

9. Intellectual Property

All intellectual property rights in and to the Services, including software, designs, trademarks, and documentation, belong to HASH INFORMATION TECHNOLOGY CO. L.L.C or its licensors. You may not copy, reproduce, or distribute any part of the Services without prior written permission.

10. Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant ZAVIS an irrevocable, perpetual, and royalty-free right to use, modify, and incorporate such feedback indefinitely, without any obligation of attribution or compensation.

11. Third-Party Integrations

The Services may integrate with third-party platforms and tools. Your use of such integrations is subject to the respective third party's terms and conditions. ZAVIS is not responsible for the availability, accuracy, or reliability of third-party services and disclaims all liability for any disruptions caused by external platforms.

12. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. ZAVIS disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, secure, or error-free.

13. Limitation of Liability

To the maximum extent permitted by law, ZAVIS's total liability for any claims arising from or related to the Services will not exceed the fees paid by you to ZAVIS in the previous six (6) months. In no event shall ZAVIS be liable for any indirect, incidental, special, or consequential damages.

14. Indemnification

You agree to defend, indemnify, and hold harmless ZAVIS and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your Customer Content infringing on the rights of any third party.

15. Modifications to Terms

ZAVIS reserves the right to update or modify these Terms at any time. We will notify you of material changes via email or dashboard notification. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Emirate of Dubai. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai.
