Terms & Conditions – ZAVIS

1. Access & Use of Services

ZAVIS offers software and tools to build, deploy, and manage voice agents and WhatsApp-based automation workflows. You may use the Services only in compliance with these Terms and all applicable laws. You must be at least 18 years old or acting on behalf of an entity with legal capacity.

2. User Accounts & Credentials

You must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of login credentials. Promptly notify support@zavis.ai of any unauthorized access.

3. License & Use Restrictions

ZAVIS grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business operations.

• Reverse engineering or disassembling the Services
• Reselling, sublicensing, or distributing the platform
• Developing competing products using the Services
• Circumventing usage limits or system restrictions

4. Usage Limits & Fair Use

To ensure fair and stable service: ZAVIS may impose usage or rate limits. Excessive or abusive usage may result in temporary suspension. We will notify you if restrictions are imposed.

5. Customer Content

All content, data, prompts, and conversation logs ("Customer Content") remain your property. You grant ZAVIS a royalty-free, non-exclusive, worldwide license to use, store, and process Customer Content solely to deliver and improve the Services. You guarantee Customer Content does not infringe third-party rights, violate privacy laws, or contain prohibited content.

6. AI Outputs & Accuracy

ZAVIS integrates with AI and voice model providers (e.g., OpenAI, Deepgram). AI-generated content may be unpredictable or inaccurate. You must review and validate any AI output before reliance. ZAVIS disclaims liability for any damage arising from AI-generated content.

7. Payments & Subscription

Certain features require payment or active subscription. Fees are listed in AED and, where applicable, USD. ZAVIS may revise pricing with prior notice. Unpaid subscription fees may result in suspension. Payment processing is handled by secure third-party providers.

8. Termination & Suspension

You can terminate your use of the Services at any time. ZAVIS may suspend or terminate access if: - You violate these Terms or policies - Your account activity negatively impacts the platform or others - Required by law or regulation Upon termination: - Access to Services ends immediately - ZAVIS may retain Customer Content as permitted in the Privacy Policy

9. Intellectual Property

All IP rights in ZAVIS Services (code, branding, UI, content) belong to HASH INFORMATION TECHNOLOGY CO. L.L.C or its licensors. You may not copy, reproduce, or distribute any Service content without written permission.

10. Feedback

If you provide suggestions or feedback, you grant ZAVIS an irrevocable, perpetual, and royalty-free right to use such feedback indefinitely. No obligation exists to attribute or compensate you.

11. Third-Party Integrations

ZAVIS integrates with various third-party platforms (e.g., social messaging APIs, voice providers). Use of third-party services is subject to their own terms. ZAVIS is not liable for disruptions or failures of external services.

12. Disclaimer of Warranties

Services are provided "as is" and "as available", without warranties. ZAVIS makes no guarantee that the Services are uninterrupted, secure, or error-free. We disclaim implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

13. Limitation of Liability

To the maximum permitted by law: ZAVIS is not liable for indirect, incidental, special, or consequential damages. ZAVIS’s total liability will not exceed the fees paid by you to ZAVIS in the previous six (6) months. You agree not to sue us for more than this cap.

14. Indemnification

You will defend, indemnify, and hold ZAVIS harmless from any claims arising out of: - Your use of the Services - Violation of these Terms - Customer Content infringing third-party rights or laws

15. Modifications to Terms

ZAVIS may update these Terms periodically. We will notify you of material changes via email or dashboard. Continued use after changes constitutes acceptance.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates, specifically Dubai. Disputes will be subject to the exclusive jurisdiction of courts in Dubai, UAE.
